1Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the software, website, applications, downloadable software, Expert Advisors ("EAs"), plugins, indicators, APIs, documentation and related services (collectively, the "Services") provided by Trading Execution Pte Ltd ("Trading Execution", "we", "our" or "us").

By creating an account, purchasing a subscription, downloading any Software, installing an EA, accessing or using any part of the Services, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2Definitions

For the purposes of these Terms:

Account means your registered user account with Trading Execution.

Content means all text, graphics, charts, reports, documentation, educational materials, user interfaces, images and other materials made available through the Services.

Expert Advisor (EA) means any software component, script or executable developed by Trading Execution for use with MetaTrader 5 or any other supported trading platform.

Services means all software, websites, applications, downloadable files, Expert Advisors, plugins, indicators, APIs, cloud services, documentation, updates, support services and any related products or services provided by Trading Execution.

Software means any desktop application, web application, mobile application, Expert Advisor, plugin, executable, script or other software provided by Trading Execution.

Subscription means a paid plan granting access to some or all Services.

User, you, or your means any individual or entity accessing or using the Services.

3Eligibility

By accessing or using the Services, you represent and warrant that:

• you are at least 18 years of age, or the legal age of majority in your jurisdiction;
• you have the legal capacity to enter into these Terms;
• your use of the Services complies with all applicable laws and regulations.

4User Accounts

Certain Services require an Account.

You agree to:

• provide accurate, complete and current information;
• keep your information updated;
• maintain the confidentiality of your login credentials;
• notify Trading Execution immediately if you suspect unauthorized access to your Account.

You are responsible for all activity occurring under your Account.

Trading Execution is not liable for losses resulting from unauthorized use caused by your failure to protect your Account credentials.

5Licence

Subject to these Terms, Trading Execution grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services solely for your own lawful personal or internal business trading activities.

The Services are licensed, not sold.

You obtain only a right to use the Services in accordance with these Terms.

All ownership and intellectual property rights remain vested in Trading Execution or its licensors.

6Subscription and Access

Certain Services require an active Subscription.

Access to subscription-only features, downloadable software and Expert Advisors may be limited or disabled if your Subscription expires, is cancelled or is terminated.

Subscriptions, renewals, billing, cancellations and refunds are governed by our Subscription & Billing Policy, which forms part of these Terms.

7Acceptable Use

You agree that you will not:

• copy, reproduce or redistribute the Services;
• share your Account or Subscription with another person;
• sell, lease, rent or sublicense the Services;
• reverse engineer, decompile or disassemble any Software except where expressly permitted by applicable law;
• modify, alter or create derivative works from the Services;
• remove copyright notices or proprietary markings;
• circumvent licensing, authentication or security mechanisms;
• scrape, harvest or extract data without authorization;
• use bots or automated tools except where expressly permitted by Trading Execution;
• use the Services for unlawful, fraudulent or abusive purposes;
• interfere with the security, integrity or availability of the Services.

8Intellectual Property

The Services, including all Software, Expert Advisors, source code, object code, algorithms, trading logic, user interfaces, documentation, graphics, databases, trademarks, branding, reports, updates and future enhancements are owned by or licensed to Trading Execution and are protected by applicable intellectual property laws.

Except for the limited licence granted under these Terms, no ownership rights are transferred to you.

9Third-Party Platforms and Services

Certain features of the Services may require or integrate with third-party software, platforms or services, including MetaTrader 5, brokers, exchanges, payment providers or cloud infrastructure.

Trading Execution does not own or control such third-party services.

Their availability, functionality and performance are outside our control and may change without notice.

Your use of third-party services remains subject to their own terms and policies.

10MetaTrader 5 and Expert Advisors

Certain Services include Expert Advisors designed for use with MetaTrader 5.

You acknowledge and agree that:

• MetaTrader 5 is developed and maintained by a third party;
• Trading Execution is not affiliated with, endorsed by or sponsored by the developer of MetaTrader 5 unless expressly stated otherwise;
• compatibility with MetaTrader 5 or any broker is not guaranteed indefinitely;
• updates made by MetaTrader 5, brokers or third-party providers may affect the functionality or compatibility of an Expert Advisor;
• Trading Execution is not responsible for failures caused by MetaTrader 5, broker systems, internet connectivity, VPS providers or other third-party infrastructure.

Where an Expert Advisor executes user-configured actions, it does so based on the settings, parameters or instructions configured by the user.

You remain solely responsible for reviewing, monitoring and managing all trading activity.

11No Investment Advice

Trading Execution develops software tools only.

Trading Execution is not a licensed financial adviser, investment adviser, broker, dealer or fund manager.

Nothing contained within the Services constitutes:

• investment advice;
• financial advice;
• legal advice;
• tax advice;
• accounting advice; or
• a recommendation to buy, sell or hold any financial instrument.

All trading decisions remain solely your responsibility.

12User Responsibilities

You acknowledge and agree that:

• financial markets involve substantial risk;
• trading may result in partial or total loss of capital;
• past performance does not guarantee future results;
• Trading Execution does not guarantee profitability or investment performance;
• you remain solely responsible for every trade executed through your trading account, including trades executed using Expert Advisors or other software tools;
• you are responsible for reviewing all trade instructions before execution where applicable;
• you are responsible for complying with all applicable laws and regulations.

13Availability and Updates

Trading Execution may, at any time:

• modify the Services;
• update Software or Expert Advisors;
• introduce new features;
• discontinue existing features;
• suspend access;
• perform scheduled or emergency maintenance.

Trading Execution does not guarantee uninterrupted or error-free operation of the Services.

Service interruptions may result from maintenance, internet failures, cloud outages, broker systems, MetaTrader 5 updates or events beyond our reasonable control.

14Force Majeure

Trading Execution shall not be liable for any delay, interruption, suspension, degradation or failure in the performance or availability of the Services where such delay, interruption, suspension, degradation or failure results from events beyond our reasonable control.

Such events may include, without limitation:

• natural disasters;
• fires;
• floods;
• earthquakes;
• severe weather events;
• pandemics or public health emergencies;
• war, terrorism or civil unrest;
• government actions, sanctions or restrictions;
• labour disputes or industrial action;
• widespread internet or telecommunications failures;
• power outages;
• failures of cloud service providers or hosting infrastructure;
• failures or outages affecting MetaTrader 5, brokerage platforms, market data providers or other third-party services;
• cybersecurity incidents, including distributed denial-of-service (DDoS) attacks, ransomware or other malicious attacks;
• failures of hardware, software or infrastructure not reasonably within the control of Trading Execution; and
• any other event beyond the reasonable control of Trading Execution.

Where reasonably practicable, Trading Execution will use commercially reasonable efforts to restore the availability of the Services as soon as circumstances permit.

Nothing in this section limits any rights or obligations that cannot be excluded under applicable law.

15Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Trading Execution disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, uninterrupted availability and error-free operation.

Trading Execution does not warrant that the Services will be free from defects, interruptions, security vulnerabilities or incompatibilities with third-party platforms.

16Limitation of Liability

To the fullest extent permitted by law, Trading Execution, its directors, officers, employees, contractors, affiliates and licensors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages arising out of or relating to your use of the Services.

This includes, without limitation:

• trading losses;
• loss of profits;
• loss of business opportunities;
• loss of data;
• system failures;
• broker execution failures;
• MetaTrader 5 failures;
• internet disruptions;
• VPS failures;
• third-party service interruptions;
• market volatility.

Where liability cannot legally be excluded, Trading Execution's total aggregate liability shall not exceed the total subscription fees actually paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

17Indemnification

You agree to indemnify, defend and hold harmless Trading Execution, its directors, officers, employees, contractors, affiliates and licensors against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of:

• your use of the Services;
• your trading activities;
• your breach of these Terms;
• your misuse of the Services; or
• your violation of any applicable law or the rights of any third party.

18Suspension and Termination

Trading Execution may suspend or terminate your Account, Subscription or access to the Services immediately if:

• you breach these Terms;
• payment remains outstanding;
• fraudulent or unlawful activity is suspected;
• unauthorized use or software piracy is detected;
• continued access poses a security, operational or legal risk.

Upon termination:

• your licence immediately ends;
• access to the Services may be revoked;
• Software or Expert Advisors requiring licence verification may cease to function;
• Trading Execution may disable or delete your Account in accordance with its data retention practices;
• provisions intended to survive termination shall remain in effect.

19Changes to These Terms

Trading Execution may amend these Terms from time to time.

Updated versions will be published through the Services or on our website.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms.

20Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore.

The parties submit to the exclusive jurisdiction of the courts of Singapore, except where applicable law provides otherwise.

21Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure by Trading Execution to enforce any provision shall not constitute a waiver of that provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Trading Execution regarding the Services and supersede all prior agreements, representations and understandings.

Electronic notices and communications shall satisfy any legal requirement that communications be in writing.
